1. DEFINITIONS
“Service” means the StratAIge web, mobile, API, bots and all content, data, or technology made available by us.
“Content” includes AI-generated strategies, back-test results, signals, and any third-party market data.
“User Strategy” means any rule, algorithm, parameter set, or logic you create, upload, or copy within the Service.
“Linked Broker” means Alpaca Securities LLC or another supported broker with whom you have a separate customer agreement.
“We,” “us,” “our” refer to StratAIge, Inc.,.
2. ELIGIBILITY & ACCOUNT SECURITY
You must be 18+, and not subject to any regulatory suspension. Keep credentials confidential; you are fully responsible for all activity under your account. Notify us immediately at ran0xiaoxuan@gmail.com of any breach.
3. SERVICES PROVIDED
AI strategy builder & optimizer
Historical back-testing engine
Signal delivery via e-mail, Discord, Telegram,
Optional routing of orders to Linked Broker through OAuth API
We do not recommend, endorse, or advise on any security or investment; all decisions are self-directed.
4. USER STRATEGIES & CONTENT
You retain ownership of original User Strategies. By posting or sharing you grant us a worldwide, royalty-free licence to host, run, copy, and display them solely for providing the Service. You may not upload infringing, malicious, or misleading code. We may remove content that violates law or this Agreement.
5. MARKET DATA
“Basic” real-time data is provided free via IEX. “Pro” data (NASDAQ, NYSE, CTA) requires a paid subscription and your explicit acceptance of the exchanges’ vendor agreements. Delayed data (15-20 min) is shown where real-time is not licensed.
6. ORDER EXECUTION & BROKER RELATIONSHIP
Order execution occurs at Linked Broker, not StratAIge. We transmit instructions “as-is” and have no liability for execution price, timing, rejection, or market disruption. Linked Broker’s terms, fees, and SIPC/FINRA protections apply exclusively to brokerage activity.
7. FEES & BILLING
Limited strategy generation and web-app notifications are free. Premium features are offered on a month-to-month or annual subscription, automatically renewing until cancelled. Refunds for partial months are not provided. All fees are quoted exclusive of sales tax.
8. RISK DISCLAIMERS
Past back-tested performance is not indicative of future results.
AI-generated outputs may contain errors or biases; verify before use.
Markets are volatile; you may lose principal.
Technology outages or data errors can occur; monitor positions independently.

9. PROHIBITED CONDUCT
You agree NOT to:
a. Reverse-engineer, scrape, or attempt to extract source code or models.
b. Use the Service to manipulate markets, violate exchange rules, or breach Regulation-SHO, Reg-NMS, or FINRA guidance.
c. Employ high-frequency or spam signals that place undue load on our infrastructure (> 300 API calls / min sustained).
d. Provide access to minors or persons legally barred from trading.
e. Transmit viruses, worms, or any code designed to interfere with computer systems.
10. INTELLECTUAL PROPERTY
The Service, trademarks, and all non-user Content are owned by StratAIge or its licensors and are protected by U.S. and international IP laws. You receive a limited, non-transferable licence to access and use the Service for personal, non-commercial purposes. No ownership of data, software, or AI models is transferred to you.
11. THIRD-PARTY LINKS & INTEGRATIONS
We may link to or embed Discord, Telegram, or Alpaca services. Your use of those platforms is governed solely by their respective terms and privacy policies.
12. LIMITATION OF LIABILITY & DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATAIGE, ITS AFFILIATES, LICENSORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
13. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless StratAIge and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your User Strategies, or your violation of this Agreement.
14. TERM & TERMINATION
This Agreement is effective upon account creation and continues until terminated. You may delete your account at any time. We may suspend or terminate access immediately if you breach these terms, pose credit or fraud risk, or cause harm to our systems or reputation. Sections 5, 10-13 survive termination.
15. GOVERNING LAW
These Terms are governed by the laws, without regard to conflict-of-law principles.
16. AMENDMENTS
We may revise these Terms by posting an updated version on the Site. Material changes will be announced via e-mail or in-app notice at least 30 days in advance. Continued use after the effective date constitutes acceptance.
